By checking the box below you hereby agree and accept that “Confidential Information” includes any non-public, confidential or proprietary information furnished by Drivonic to you, including, without limitation, information relating to the Drivonic’s business, including, without limitation, business methods, products, product designs, product plans, processes, procedures, formulates, models and techniques, data, software and technology, financial information, marketing plans, business opportunities, pricing information, discounts, inventions and know-how, sales methods, prospecting methods, methods of presentation, programs and other materials used to or to be used by others in managing, marketing or furthering business, customer and clients lists and customer and client names and information, target lists, performance goals, engineering information, technological initiatives, ideas and services for clients and prospective clients, producer or service pricing information, information in tangible or intangible form relating to and/or including released or unreleased software or hardware, the marketing or promotion of any product or service, the terms and conditions of any proposed (or actual) distribution or license agreement or other agreement concerning Drivonic’s products, services, distribution or license negotiations, and information received from others that Drivonic is obligated to treat as confidential and all other information about Drivonic’s business and gives such party an opportunity to obtain an advantage over competitors (including the existence and terms of this Agreement). Further you agree and accept that you will keep the Confidential Information confidential and will not disclose the Confidential Information to anyone and you recognize and acknowledge the competitive value and confidential nature of the Confidential Information and the damage that could result to the Drivonic if any information contained therein is disclosed to a third party and you shall not yourself, or permit any third party to, modify, reverse engineer, reverse compile, or disassemble the Confidential Information in whole or in part, including without limitation any product, formula or process or procedure which is included in the Confidential Information for any reason whatsoever. You shall not claim any interest in the Confidential Information and such Confidential information may not be copied, distributed, displayed, adapted, modified, or made into derivative works, or otherwise used. You agree that you will not directly or indirectly infringe on any copyrights or patents or other intellectual property either approved or pending for Drivonic.
